THE AGRICULTURAL WORLD CENTRAL TO GOVERNANCE

Since the very creation of Avril, the Group’s founding shareholders, all of whom originate from the agricultural world, have always been central to the Group’s decision-making bodies. By transforming into a French limited partnership with shares (SCA) in 2015, the Group intended to preserve and perpetuate its founding vision. Its governance, in which the agricultural community continues to be actively involved, effectively distinguishes between the controlling authority of the limited partners, mainly from the French vegetable oil and protein industry (FIDOP, FOP, et Fondation Avril), and the management authority of the active partner, represented by Avril Gestion exerted within the Board of Directors, alongside the CEO.

AVRIL GESTION, ENSURING THE GROUP'S VISION

Avril Gestion’s Board of Directors is made up of nine members, divided into three colleges, including four farmers from the FOP, three qualified individuals, and two current or former CEOs or corporate officers from the agricultural or food industry sectors.

Its Chairman is appointed for a six-year term, nominated by the producers’ colleges. Since 2017, this position has been held by Arnaud Rousseau, a farmer from the Seine-et-Marne and Vice-President of the FOP.

The Board of Directors is responsible for approving the major strategic orientations proposed and implemented by the CEO of the Group in his capacity as the Group’s sole legal representative.

AVRIL'S OPERATIONS UNDER THE DIRECTION OF THE CEO AND THE EXECUTIVE COMMITTEE

Appointed by Avril Gestion’s Board of Directors, Jean-Philippe Puig, in his capacity as CEO, has been heading the Group since 2012. He relies on the support of the Executive Committee, the Group’s management body.

Made up of ten members designated by the CEO, the Avril Executive Committee implements Avril’s strategy and that of its subsidiaries, as determined by the CEO and approved by Avril Gestion’s Board of Directors.

The limited partners, FIDOP, FOP, and the Fondation Avril, are represented on the Supervisory Board, which also includes two members representing the Group’s employees, whose mission is to ensure the on-going control of Avril and its subsidiaries.

The Stakeholder Committee

The Avril stakeholder committee has been supporting the Group’s transformation and responsible performance for the past three years. Made up of members with backgrounds in research, industry, finance and the NGO sphere, the committee enables Avril decision-makers to anticipate emerging societal expectations, challenges and actions, and provides an expert, supplementary and external viewpoint. The committee also participates in defining the commitments associated with the Group’s purpose, and monitors their implementation.

With the help of the committee members, I will endeavor to pursue the efforts already undertaken, and to initiate a dynamic that will help us to communicate on structural issues, and to monitor, alongside Avril, the responses implemented. I firmly believe in the benefits of Avril's approach of putting together a long-term and committed stakeholder committee, and we will strive to continue to develop its positive influence for the Group and for society.

The technical and scientific committee

In order to prepare for the future and for the agricultural, food and environmental transitions, Avril has set up a scientific and technical committee (CST). Since 2022, this committee has assembled tri-annual meetings of around a dozen renowned experts from the worlds of research and industry. This forum for inter-disciplinary exchanges helps facilitate the Group’s assimilation of emerging topics, clarifying the choices made and challenging its innovation approach.
